Aethlon Medical Inc. ($AEMD) saw its shares skyrocket by 346% in premarket trading following the announcement of an all-stock merger with North Immunology. This deal, approved by both companies' boards, is anticipated to close in the first quarter of 2027 and will result in the combined entity operating under the name North Immunology, Inc., trading on Nasdaq with the ticker $NRTX. The merger includes a concurrent private placement expected to raise about $180 million in gross proceeds, positioning the new company to advance development of NOR-101, a novel bispecific antibody targeting atopic dermatitis and other immune-related conditions.
Under the terms of the agreement, existing Aethlon shareholders will hold approximately 4.75% of the merged company, while North Immunology shareholders will own about 95.25%, with the combined pro forma equity valued around $346.5 million. This strategic move marks a significant shift for Aethlon Medical, aiming to leverage North Immunology’s pipeline and resources to accelerate progress in immune disease therapies.
U.S. markets are closed for the weekend and will reopen tomorrow morning at 9:30 AM ET.
